Trading and staking of crypto assets involve extremely high market and regulatory risks. Asset prices may fluctuate sharply and may even fall to zero. Before agreeing to this Agreement and using the NodeXX Launchpool service, please carefully read and fully understand all terms hereof, especially those relating to exemption or limitation of liability, governing law and jurisdiction, and risk disclosures. If you do not agree to any part of this Agreement, please stop using the Service immediately.
I. Introduction and Acceptance of the Agreement
1.1 This NodeXX Launchpool Service Agreement (the “Agreement”) is entered into by and between the operator of the NodeXX platform (the “Platform,” “we,” or “us”) and users who use the NodeXX Launchpool service (the “User” or “you”).
1.2 This Agreement also includes all Launchpool-related rules, descriptions, announcements, and other documents that NodeXX has published or may publish from time to time, as well as the NodeXX User Service Agreement, the Privacy Policy, and similar documents (collectively, the “Platform Rules”). All such rules form an integral part of this Agreement and shall have the same legal effect as the main body of this Agreement.
1.3 By checking “I have read and agree,” clicking “Confirm Stake,” “Join Launchpool,” or otherwise actually using the Launchpool service, you shall be deemed to have fully read, understood, and accepted all terms of this Agreement and the applicable Platform Rules.
II. Scope of Services and Operating Mechanism
2.1 Definition of the Service. NodeXX Launchpool (new token mining / staking pools) is a crypto asset yield and innovative project token distribution service provided by the Platform. Users may lock/stake designated crypto assets (such as platform tokens or stablecoins) in designated staking pools and earn new project tokens or reward tokens on a pro rata basis.
2.2 Eligibility Requirements.
- You must have full civil capacity for rights and full civil capacity for conduct;
- You must have completed NodeXX account registration and passed identity verification (KYC) as required;
- You must not be a resident of any restricted jurisdiction;
- The funds used for participation must be from lawful and compliant sources and must not involve money laundering or illegal financing.
2.3 Yield Calculation and Distribution.
- Staking Snapshot: The Platform will take periodic and/or random snapshots of users’ staked assets as the basis for calculating rewards.
- Reward Distribution: Rewards are calculated based on the ratio of “the user’s staked amount / the total staked amount in the relevant pool,” and are distributed automatically in accordance with the applicable rules or claimed manually by the user.
III. Rights and Obligations of the User
3.1 You have the right to participate in staking, view yields, and withdraw your staked principal and rewards in accordance with this Agreement and the Launchpool rules.
3.2 You undertake to provide true and accurate personal identity information and to comply with applicable laws and regulations.
3.3 Any misconduct is strictly prohibited, including but not limited to using multiple accounts to cheat, engaging in wash activity or volume manipulation, or maliciously attacking the system. Upon discovery of any such misconduct, the Platform shall have the right to cancel your eligibility to participate, deduct improperly obtained rewards, and freeze your account.
IV. Rights of the Platform and Disclaimer
4.1 Modification and Termination of the Service. NodeXX reserves the right to suspend, interrupt, or terminate the Service, or to adjust project rules, at any time based on market conditions or regulatory developments.
4.2 No Endorsement of Projects. Third-party projects displayed on Launchpool are independently operated by the relevant project parties. NodeXX makes no express or implied warranty regarding their technical feasibility, commercial value, or price performance.
4.3 Force Majeure and System Risks. To the maximum extent permitted by law, NodeXX shall not be liable for any losses arising from force majeure, hacking attacks, network interruptions, smart contract vulnerabilities, or similar events.
V. Risk Disclosure
- Market and Price Volatility Risk: The prices of staked principal and reward tokens may fluctuate sharply and may even fall to zero.
- Smart Contract and Technical Risk: Blockchain networks and smart contracts may contain potential vulnerabilities or be subject to attack.
- Regulatory and Policy Risk: Changes in regulatory policies in various jurisdictions may result in restriction or termination of the Service.
VI. Governing Law and Dispute Resolution
The formation, performance, and dispute resolution of this Agreement shall be governed by international commercial practices and the laws of the place where the Platform operator is registered. If negotiation fails, the dispute shall be submitted to a competent arbitration institution or court in the place of registration of the Platform operator for adjudication.
