NodeXX Node Sale General Legal Disclaimer

Special Notice and Scope of Application

I. Node Sale Services and Node Rights

1. NodeXX provides users with services within the platform including node project display, purchase, order execution, node rights record-keeping, token generation and crediting, project disposal, and refunds under applicable circumstances. The tiers, prices, inventory, payment currencies, generation currencies, generation methods, timing and quantities of a specific project shall be governed by the project announcement, the purchase confirmation page and the executed order records.
2. Users select the node tier, quantity and one supported payment currency on the project page. Upon a successful purchase, the purchase price is deducted from the purchaser's personal main account spot balance, and corresponding orders, node rights and generation plans are generated. Node rights are rights recorded and performed within the platform in accordance with the project rules; they do not represent equity in NodeXX or any project party, nor do they constitute a guarantee of principal for the purchase price or the market value of the tokens.
3. The generation currencies, generation methods, total quantities, start and end times, and crediting arrangements shall be governed by the project rules and order records applicable at the time of purchase. Token quantity arrangements are separate matters from the fiat price, secondary market price, liquidity and actual realizable value of the tokens; no displayed information or historical data guarantees future returns.
4. Except as otherwise provided by the project disposal rules or applicable law, node orders that have been successfully purchased and are being performed normally will not be refunded due to changes in token prices, unmet personal expectations, or a change of mind by the user.

II. Project Cancellation, Suspension, Termination and Order Failure

1. Cancellation during the public notice period: When a project has no successful purchase orders, there is no purchase price that has been paid and requires a refund. If a deduction has already occurred in the system, it shall be refunded in accordance with the rules for failed orders.
2. Suspension during the sales period or pre-generation stage: For successful orders, NodeXX shall refund the full purchase price in the original payment currency to the purchaser's personal main account spot balance; the corresponding node rights and generation plans that have not yet commenced shall be invalidated. Refund execution shall be based on platform records, and unfinished refunds shall continue to be processed by the system.
3. Early termination during generation: The node will no longer generate tokens, and the purchase price will not be refunded; tokens already credited shall be retained, and the generation that is due as of the termination point but has not yet been credited shall be settled in accordance with the project rules.
4. Order execution failure: Such an order does not create valid node rights. If a payment has been deducted, the platform shall refund the corresponding amount in accordance with the rules for failed orders; such reversals are handled separately from refunds for successful orders following project suspension.

III. Risk Disclosure and User Judgment

1. Digital asset prices may fluctuate sharply and may lack sufficient liquidity. Project operations, token mechanics, technical failures, market changes, regulatory measures and other factors may affect the usability, tradability and value of the generated currencies. NodeXX does not guarantee that any generated currency will maintain a specific price, remain continuously tradable, have liquidity or deliver a return on investment.
2. You shall independently assess the project materials, node sale rules, actual payment amount and all losses you may possibly sustain. Project introductions, expected descriptions and historical performance published by NodeXX, project parties or other entities shall not be construed as commitments to principal protection, buyback, fixed fiat returns or future market performance.
3. You shall comply with the laws, regulations and platform access rules applicable to you and to this service; where your region or your status does not permit participation, you shall not make a purchase. The platform may also impose access restrictions in accordance with applicable law and published rules.
4. This Disclaimer and the project materials displayed on the platform do not constitute legal, tax, accounting, financial or investment advice for you. If necessary, please consult an independent professional advisor.

IV. Limits of the Platform's Liability

1. The issuance of project tokens, project operations, ecosystem development and materials provided by project parties shall be the responsibility of the corresponding responsible entities. NodeXX provides node sales and related platform services, and by displaying projects, opening node purchases or cooperating with project parties, does not guarantee project operating results, token prices, market liquidity, tradability, principal protection, buyback or return on investment.
2. You participate in purchases based on your own judgment and shall bear the risks of digital asset market fluctuations and third-party project operations yourself. To the extent permitted by applicable law, NodeXX shall not be liable for investment losses arising solely from the aforementioned market risks, the conduct of project parties or the user's own decisions.
3. The aforementioned limits of liability do not release NodeXX from the liability it bears for its own node sale services, deductions, order processing, node rights record-keeping, token generation and crediting or refunds required under the rules, and other matters that cannot be excluded by law.

V. Disclaimer and Other Rules

1. This Disclaimer applies together with the NodeXX User Agreement and the corresponding node project rules. This Disclaimer does not alter the specific transaction information recorded on the purchase confirmation page and executed orders, such as prices, quantities, payment currencies and generation arrangements, nor does it exclude liability that cannot be excluded by law. Where marketing promotions or third-party statements are inconsistent with the official project rules or executed order records, they shall not constitute standalone transaction commitments.
2. NodeXX may update this Disclaimer due to changes in its business or in laws and regulations, and shall publish the updated content and effective time. The effect of updates on executed orders shall be determined in accordance with applicable law, the project rules applicable at the time of purchase and the User Agreement; existing rights lawfully enjoyed by users may not be negated solely by a subsequent update.
3. If any provision of this Disclaimer is held invalid or unenforceable, the validity of the remaining provisions shall not be affected. Matters not covered by this Disclaimer, including applicable law and dispute resolution, shall be handled in accordance with the NodeXX User Agreement and applicable law.
